Terms of Service

Sugee Farms is an MSME-registered enterprise engaged in the sale and supply of fresh farm produce (including but not limited to fruits, vegetables, and other perishable agricultural goods) primarily for bulk and business-to-business buyers in and around Bengaluru.

To create an account or place an order, you must:

• be at least 18 years of age and competent to contract under the Indian Contract Act, 1872;
• provide accurate, current, and complete information at registration and at order placement; and
• be acting on your own behalf or be duly authorised to transact on behalf of a business.

We reserve the right to refuse or cancel any account or order at our sole discretion, including in cases of suspected misuse, false information, or unpaid dues.

You are responsible for safeguarding your account password and for all activity that occurs under your account. You must notify us immediately at sugeefarm@gmail.com of any unauthorised use of your account.

• The Platform is intended primarily for bulk orders. Minimum order quantities, where applicable, will be communicated at the time of order.
• All products are perishable agricultural goods. Photographs, descriptions, and weights on the Platform are indicative; actual products may vary in colour, size, and appearance owing to the natural nature of fresh produce.
• Prices displayed on the Platform are indicative. Final pricing for bulk orders is agreed between you and us at the time of order confirmation and may reflect negotiated rates.
• An order is deemed accepted only upon explicit confirmation by us (status: "confirmed"). Until then, the order is a request and may be cancelled or modified by either party.
• We reserve the right to refuse, limit, or cancel any order, including after acceptance, in cases of stock unavailability, pricing errors, suspected fraud, or any other reasonable cause. In such cases any amount already paid will be refunded.

Payment terms — which may include payment in advance, cash on delivery, or split payment — are agreed at the time of order. Where credit terms or a due date have been agreed, the due date will be printed on the relevant invoice. Failure to pay by the due date may result in suspension of further orders and recovery action.

Payments may be made by bank transfer or UPI to the account details printed on the invoice. We do not store card details. We are not registered for GST; invoices will not include GST.

• Delivery is offered in and around our operating area in Bengaluru. We reserve the right to refuse or limit delivery to locations outside our serviceable area.
• Delivery dates and times are estimates and not guarantees. We are not liable for delays caused by traffic, weather, or other causes beyond our reasonable control.
• Risk in the goods passes to you upon delivery to the address you specified, or to any person at that address who accepts the goods on your behalf.

• You may cancel an order at any time before it is confirmed by us, at no charge.
• Once an order has been confirmed by us, it cannot be cancelled, since procurement and harvesting of perishable produce will already have been initiated on your behalf.

We sell fresh perishable produce. Despite reasonable care in handling, isolated instances of damage in transit may occur.

• You must inspect the goods at the time of delivery. Any visible damage, shortage, or wrong item must be reported at the time of delivery to the delivery person and, in any event, to us at sugeefarm@gmail.com or +91 9611219024 within 24 hours of delivery, supported by clear photographs of the affected items.
• Where we are satisfied that goods were damaged or short on delivery, we will, at our sole discretion, either (i) replace the affected items on a future order, or (ii) issue a credit note for the affected portion.
• Claims not raised within 24 hours of delivery, or unsupported by photographic evidence, will not be entertained.
• Goods are not accepted for return or refund on grounds of change of mind, since the goods are perishable.

You agree not to:

• use the Platform for any unlawful purpose or in violation of Indian law;
• attempt to gain unauthorised access to any part of the Platform or any account other than your own;
• introduce viruses, malware, or any code intended to disrupt the Platform;
• scrape, copy, or republish content from the Platform without our prior written consent;
• use the Platform to harass, defame, or impersonate any person.

All content on the Platform — including text, graphics, logos, product images, and arrangement — is owned by or licensed to Sugee Farms and is protected under applicable copyright and trade-mark laws. You may not use, reproduce, or distribute any such content without our prior written consent.

• The Platform and the products are provided on an "as is" and "as available" basis, save for statutory rights and warranties that cannot be excluded under Indian law.
• While we take reasonable steps to ensure the quality and accuracy of product information on the Platform, we do not warrant that the Platform will be uninterrupted, error-free, or free of viruses or other harmful components.
• Nothing in these Terms is intended to exclude or limit any liability that cannot lawfully be excluded under the Consumer Protection Act, 2019 or any other applicable Indian law.

To the maximum extent permitted by applicable law, our total aggregate liability to you in connection with any order or in respect of the Platform, whether in contract, tort (including negligence), or otherwise, shall not exceed the amount paid by you for the order giving rise to the claim. We shall not be liable for any indirect, incidental, consequential, special, or exemplary loss, including loss of profits, loss of business, or loss of goodwill.

You agree to indemnify and hold Sugee Farms harmless from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or in connection with (a) your breach of these Terms, (b) your violation of any applicable law, or (c) your misuse of the Platform.

We shall not be liable for any failure or delay in performance caused by events beyond our reasonable control, including acts of God, natural calamities, epidemics, government action, strikes, supply-chain disruptions, or failure of utilities or internet services.

We may suspend or terminate your account at any time, with or without notice, if you breach these Terms, fail to pay sums when due, or use the Platform in a manner that we, in our sole discretion, determine to be harmful to us or to other users.

We may revise these Terms from time to time. The revised Terms will be effective from the “Last updated” date stated above. Your continued use of the Platform after the revised Terms come into effect constitutes acceptance of the changes.

These Terms are governed by the laws of India. Any dispute arising out of or in connection with these Terms or your use of the Platform shall be subject to the exclusive jurisdiction of the competent courts at Bengaluru, Karnataka.

In accordance with applicable Indian law, including the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021, the Grievance Officer is:
